1. Agreement to these Terms
These Terms of Use (“Terms”) govern access to and use of the EchoBook mobile application, websites, APIs, WhatsApp Business channel, and related services (collectively, the “Service”).
By creating an account, subscribing, downloading the app, or using the Service, you agree to these Terms and our Privacy Policy (https://www.echobookapp.com/privacy). If you use EchoBook on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business.
If you do not agree, do not use the Service.
2. Who may use EchoBook
- The Service is for registered business merchants and their authorized staff.
- You must be at least 18 years old (or the age of majority in your place of residence) and able to form a binding contract.
- You must provide accurate registration information and keep it up to date.
- You are responsible for all activity under your merchant account and for staff you invite.
3. Description of the Service
EchoBook helps merchants:
- capture business documents (photos/messages) via the mobile app and/or WhatsApp;
- review and confirm parsed entries in the EchoBook app;
- update connected inventory and accounting systems (for example ERPNext) according to your configuration;
- manage shops/teams, day close, reports, notifications, subscriptions, and support features available on your plan.
Important limitations
- WhatsApp is primarily a capture / notification channel. Confirmation and account control occur in the EchoBook app unless we expressly state otherwise.
- EchoBook is a software tool, not your licensed accountant, auditor, tax adviser, or legal adviser. You remain responsible for the accuracy of confirmations, books, tax filings, and regulatory compliance.
- Output depends on document quality, user confirmations, plan entitlements, and correct ERP/accounting setup.
- We may modify, suspend, or discontinue features with reasonable notice where practical.
4. Accounts, access, and security
You agree to:
- keep login credentials confidential and use strong authentication practices;
- restrict staff access to people who need it and revoke access promptly when someone leaves;
- notify us promptly at [email protected] of suspected unauthorized access;
- use only phone numbers and emails you are authorized to register.
We may suspend or restrict access to protect the Service, other users, or if we suspect fraud, abuse, or Terms violations.
5. Subscriptions, fees, and payment
5.1 Plans
EchoBook is offered on a paid subscription basis (for example per active shop / plan tier). Plan features, quotas, and prices are shown in the app, on our website, or in an order/invoice we issue. Concierge or custom plans may be negotiated separately.
5.2 Billing
- Fees may be collected via card processors, Mobile Money providers, cash confirmation by our operations team, or other methods we enable.
- Unless expressly stated, no free trial is guaranteed. Access may remain locked until payment is confirmed.
- After a paid period ends, a grace period may apply; thereafter unpaid accounts may lose access to paid features.
- Taxes may apply where required.
5.3 Renewals and cancellations
Auto-renewing payment methods renew according to the provider and plan terms shown at checkout. You may cancel future renewals according to in-app / provider instructions; fees already paid are generally non-refundable except where required by law or expressly agreed in writing.
5.4 Chargebacks and cash payments
Abusive chargebacks or false cash payment claims may result in suspension. Cash activations occur only after our confirmation.
6. Acceptable use
You agree not to:
- Use the Service for unlawful activity or to store/process content you are not authorized to handle
- Upload malware or attempt to probe, scan, or breach our systems or other merchants’ data
- Reverse engineer, resell, or provide the Service as a competing bureau except as allowed in writing
- Impersonate others, misuse WhatsApp Business messaging, or spam
- Circumvent plan limits, paywalls, or security controls
- Use EchoBook if we have previously suspended your account for abuse
We may investigate and remove content or suspend accounts that violate these rules.
7. Your content and business data
You retain ownership of your business content (documents, transaction data, customer/supplier records you submit) (“Customer Content”).
You grant EchoBook a worldwide, non-exclusive license to host, process, transmit, display, and create derivative technical outputs (such as OCR/parsed drafts) solely to provide and improve the Service, including posting confirmed entries to systems you connect.
You represent that you have all rights needed to submit Customer Content and that doing so does not violate law or third-party rights.
8. Our intellectual property
EchoBook’s software, branding, UI, documentation, and related materials are owned by EchoBook or its licensors. Except for the limited right to use the Service under your subscription, no IP rights are transferred to you. You may not copy, modify, or create derivative works of our software except as allowed by law.
“EchoBook” and related marks are used to identify our Service.
9. Third-party services
The Service may interoperate with WhatsApp/Meta, Google Play, payment providers, hosting/auth providers, AI providers, crash monitoring tools, and your ERP host. Your use of those services may be subject to their terms. We are not responsible for outages, policy changes, or data handling by third parties beyond our reasonable control.
10. Privacy
Our collection and use of personal data is described in the Privacy Policy at https://www.echobookapp.com/privacy. By using the Service, you also acknowledge that Policy.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PARSED RESULTS WILL BE COMPLETE OR ACCURATE WITHOUT YOUR REVIEW AND CONFIRMATION.
You are solely responsible for verifying pending documents before confirmation and for your accounting outcomes.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOBOOK AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID TO ECHOBOOK FOR THE SERVICE IN THAT PERIOD (OR, IF GREATER LIABILITY IS REQUIRED BY LAW, THE MINIMUM AMOUNT REQUIRED).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
13. Indemnity
You will defend and indemnify EchoBook against claims, damages, and expenses (including reasonable legal fees) arising from: (a) your Customer Content; (b) your misuse of the Service; (c) your violation of these Terms or law; or (d) disputes between you and your customers, suppliers, staff, or ERP provider.
14. Suspension and termination
You may stop using the Service at any time and request account closure via [email protected].
We may suspend or terminate access for non-payment, Terms violations, legal risk, or Service discontinuation. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including IP, fees owed, disclaimers, limitations, indemnity) will survive.
Data retention/deletion after termination is handled under the Privacy Policy and any applicable law.
15. Changes to the Service or Terms
We may update these Terms from time to time. The “Last updated” date will change when we publish revisions at https://www.echobookapp.com/terms. If changes are material, we may provide additional notice. Continued use after the effective date constitutes acceptance, except where local law requires express consent.
16. Governing law and disputes
These Terms are governed by the laws of [insert governing jurisdiction — e.g. Democratic Republic of the Congo / your company registration country], without regard to conflict-of-law rules, except where mandatory consumer or local laws apply.
Disputes should first be raised to [email protected]. If unresolved, courts located in [insert venue] shall have exclusive jurisdiction, unless mandatory law gives you other rights.
17. Miscellaneous
- If any provision is unenforceable, the remainder remains in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- These Terms are the entire agreement regarding the Service and supersede prior agreements on the same subject (except separate written enterprise/concierge contracts).
- English and French versions may be provided; if there is a conflict, the English version controls unless local law requires otherwise.
